About the project
We are two business founders seeking an experienced U.S.-licensed CPA to provide forensic accounting, financial modeling, valuation analysis, and financial writing support for an ongoing commercial arbitration involving a major, multiphase real estate and sports/entertainment development venture. The dispute involves founder ownership, compensation, expenditures, related entities, and changes to project economics. We need an independent professional to review the financial evidence, test existing calculations, develop supportable scenarios, and help explain the findings clearly. The initial engagement is for remote consulting support. Any formal expert report, declaration, deposition, or testimony would be separately discussed and priced. The work will include: Financial reconciliation and tracing. Review selected expenditure ledgers, receipts, bank and wire records, tax returns, K-1s, loan documents, and financial statements. Distinguish expenses, reimbursements, member advances, capital contributions, related-party transfers, and outstanding liabilities. Entity and ownership analysis. Map ownership and financial relationships across multiple LLCs, including separate entities with similar names. Analyze direct and indirect interests, changes in ownership percentages, debt conversion, preferred returns, and the order in which proceeds are distributed. Review of existing budgets and projections. Compare historical compensation proposals, development budgets, and later financial models. Identify each document’s source, date, assumptions, and evidence of approval. Distinguish proposals and projections from executed agreements and actual transactions. Independent compensation and project benchmarks. Research supportable comparisons for developer fees, project-management compensation, founder services, salaries, and profit participation. Assess whether existing figures are reasonable for the project’s scope, services, timing, and risk. Financial forecasts and valuation scenarios. Develop or refine projections beginning in 2026, with an appropriate forecast period, development phases, financing assumptions, costs, revenues, and sensitivity analysis. Reconcile differing historical descriptions of project size. Clearly distinguish development cost, completed project value, net profit, distributable cash, and the value attributable to a particular ownership interest. Damages modeling. Evaluate documented expenditures, potential compensation losses, and ownership-value scenarios using clearly identified assumptions. Keep individual losses, company-level losses, and ownership valuation separately calculated, and identify possible overlap or double counting. Disputed ownership percentages and potential arbitration outcomes must remain conditional assumptions. Financial writing and supporting schedules. Help prepare a clear financial narrative, calculation explanations, tables, and supporting schedules for potential use in arbitration. Tie material figures to source documents and identify missing evidence, limitations, and findings that do not support a proposed calculation. We have working summaries and supporting records, including documents identified by exhibit or Bates number. We propose beginning with a focused set of core materials so the initial engagement can be scoped and priced before expanding the review. Expected deliverables include an initial assessment and records-gap list, an editable Excel model with transparent formulas and documented assumptions, and a concise written financial analysis with source references. Applicants should have an active U.S. CPA license and demonstrated experience in forensic accounting, economic damages, or business valuation. Experience with LLC ownership disputes, commercial arbitration, and substantial real estate development projects is particularly relevant. CFF, ABV, CFE, or comparable specialized credentials are welcome. Please include: Your licensing jurisdiction and relevant credentials. Examples of similar engagements and your specific role.
